These Terms and Conditions ("Terms") govern access to and use of the Linkyt marketing website, the Linkyt platform at app.linkyt.io, and related services provided by Linkyt Technologies ("Linkyt", "we", "us", or "our"). By creating an account, using our services, or continuing to access our website, you agree to these Terms.

If you do not agree, you must not use our services. If you accept on behalf of an organisation, you represent that you have authority to bind that organisation.

1. Our services

Linkyt is an agentic commerce platform that may include, depending on your subscription: online storefronts, bookings, payments, CRM, productivity tools, delivery integrations, API access, and WhatsApp AI agent capabilities. Features may change over time. Some capabilities are offered in preview or roadmap form and may be subject to additional terms.

We strive to maintain reliable service but do not guarantee uninterrupted availability. Planned maintenance, third-party outages (including payment networks, Meta/WhatsApp, or cloud providers), and events outside our reasonable control may affect access.

2. Eligibility and accounts

You must be at least 18 years old and legally able to enter into contracts
Business accounts must provide accurate registration, billing, and contact information
You are responsible for safeguarding login credentials and activity under your account
You must notify us promptly of unauthorised access or suspected compromise
We may suspend or terminate accounts that violate these Terms or pose security or legal risk

3. Subscriptions, fees, and payments

Paid plans, pricing, and feature limits are described on our website and in your account. Fees are generally billed in ZAR unless otherwise stated. Taxes, payment processor fees, Meta conversation or template fees, and third-party charges may apply additionally.

Free plans or promotional offers may be subject to specific conditions
Unless stated otherwise, subscriptions renew automatically until cancelled
Failure to pay may result in suspension or downgrade of services
Refunds are handled according to our published refund policy and applicable consumer law

Merchants are responsible for pricing, refunds, and customer disputes relating to their own sales processed through the platform.

4. Acceptable use

You agree not to:

Use Linkyt for unlawful, fraudulent, deceptive, or harmful activities
Infringe intellectual property, privacy, or other rights of any person
Upload malware, attempt unauthorised access, or interfere with platform integrity
Send spam or unsolicited messages in violation of applicable law or platform policies
Use messaging or AI features to harass, discriminate, or distribute prohibited content
Resell or sublicense the platform except as expressly permitted in writing
Reverse engineer or circumvent technical limits except where law expressly allows

5. Merchant content and customer data

You retain ownership of content and data you submit. You grant Linkyt a limited licence to host, process, transmit, and display that content solely to provide and improve the services.

You are the data controller for personal data relating to your customers. You must comply with GDPR, POPIA, and other applicable privacy laws, including providing privacy notices, obtaining valid consents, and responding to data subject requests. Our Privacy Policy describes how we process data in our controller and processor roles.

You must not submit special-category personal data through Linkyt unless you have a lawful basis and appropriate safeguards.

6. WhatsApp, Meta, and third-party services

Messaging and WhatsApp AI features depend on third-party platforms (including Meta). Your use must comply with Meta's Business Messaging Policy, WhatsApp Commerce Policy, and related terms. You are responsible for template approvals, opt-ins, customer care windows, and lawful marketing practices.

Integrations with payment providers, delivery partners, analytics tools, or custom APIs are subject to those providers' terms. Linkyt is not responsible for third-party services we do not control.

7. API and developer access

API access may be granted subject to authentication, rate limits, and documentation. You must keep API keys confidential, use APIs only for permitted purposes, and not scrape or overload our systems. We may modify or deprecate API endpoints with reasonable notice where practicable.

Developer documentation at /api-docs is provided for planning and may describe features that are not yet generally available.

8. Intellectual property

Linkyt and its licensors own all rights in the platform, software, branding, documentation, and website content except for your content and third-party materials. No rights are granted except as expressly stated in these Terms.

You may not copy, modify, distribute, or create derivative works of our proprietary materials without prior written consent.

9. Confidentiality

Each party may receive confidential information from the other. You agree to protect non-public information about the platform, pricing, and security using reasonable care, and to use it only for permitted purposes.

10. Disclaimers

To the fullest extent permitted by law, the services and website are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that AI-generated responses, automations, or integrations will be error-free, lawful for your specific use case, or suitable without human review. You remain responsible for business decisions and customer communications sent through your account.

11. Limitation of liability

To the maximum extent permitted by applicable law, Linkyt and its affiliates, officers, employees, and partners will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, data, goodwill, or business opportunity.

Our aggregate liability arising from or related to the services in any twelve-month period will not exceed the greater of (a) amounts you paid to Linkyt for the services in that period, or (b) one hundred euros (€100), except where liability cannot be limited under applicable law (including death or personal injury caused by negligence, fraud, or wilful misconduct).

12. Indemnity

You agree to indemnify and hold harmless Linkyt from claims, damages, losses, and expenses (including reasonable legal fees) arising from your content, your use of the services, your breach of these Terms, or your violation of law or third-party rights, including claims from your customers relating to products, services, or messaging you provide.

13. Suspension and termination

You may cancel your subscription according to account settings or by contacting us. We may suspend or terminate access immediately for material breach, non-payment, security risk, or legal requirement.

Upon termination, your right to use the services ends. We may retain or delete data according to our Privacy Policy and legal obligations. Provisions that by nature should survive (including liability limits, indemnity, and governing law) will survive termination.

14. Governing law and disputes

These Terms are governed by the laws of Estonia, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your country of residence provide otherwise.

Disputes should first be raised with us at team@linkyt.io so we can attempt good-faith resolution. Where permitted by law, courts in Tallinn, Estonia shall have exclusive jurisdiction, without prejudice to your statutory rights.

15. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Continued use after changes take effect constitutes acceptance, except where applicable law requires additional notice or consent.

16. General

Entire agreement: These Terms, together with applicable order forms, plan descriptions, and the Privacy Policy, form the agreement between you and Linkyt regarding the services
Severability: If any provision is unenforceable, the remainder remains in effect
No waiver: Failure to enforce a provision is not a waiver of future enforcement
Assignment: You may not assign these Terms without our consent; we may assign in connection with a merger, acquisition, or asset sale
